Terms and Conditions
General Terms of Business (AGB). Effective April 2026
§1: Scope of Application
These General Terms and Conditions (AGB) apply to all services provided by Aliaa El Shoubaki, operating as Circle on Point, Südtiroler Platz 9, 1040 Vienna, Austria (hereinafter “Service Provider”).
By engaging the Service Provider, the client accepts these terms in full. Deviating terms of the client shall not apply unless expressly agreed in writing.
§2: Services
The Service Provider offers consulting, research, and strategic content development services in the field of circular economy and sustainable business models. Typical deliverables include, but are not limited to:
- White papers and strategic documents
- Investor briefs and capital-aligned positioning materials
- Organizational alignment papers
- Research and analysis reports
The specific scope, deliverables, timeline, and fees for each engagement are defined in a written project proposal or agreement prior to commencement.
§3: Contract Formation
A binding contract is formed upon written acceptance of a project proposal by the client (including acceptance via email). The Service Provider reserves the right to decline engagements at her discretion.
§4: Pricing and Payment
All fees are quoted in Euros (EUR) and are exclusive of any applicable taxes. The Service Provider is exempt from VAT pursuant to §6 Abs. 1 Z 27 UStG (Kleinunternehmerregelung).
Payment terms: 50% of the agreed fee is due upon project confirmation (upfront payment). The remaining 50% is due upon delivery of the final deliverable. Invoices are payable within 14 days of issue unless otherwise agreed in writing.
In the event of late payment, the Service Provider reserves the right to charge statutory default interest in accordance with §456 UGB.
§5: Delivery
Deliverables are provided electronically (e.g., PDF, DOCX) unless otherwise agreed. Delivery timelines are estimates and not binding deadlines unless expressly confirmed as such in writing.
The Service Provider shall make reasonable efforts to meet agreed timelines. Delays caused by the client (e.g., late provision of information or feedback) shall extend the delivery timeline accordingly.
§6: Client Obligations
The client shall provide all necessary information, materials, and feedback in a timely manner to enable the Service Provider to perform the agreed services. The client is responsible for the accuracy and completeness of all information provided.
§7: Intellectual Property and Usage Rights
Upon full payment, the client receives an exclusive, transferable right to use the delivered materials for the agreed purpose. Copyright remains with the Service Provider unless explicitly transferred in writing.
The Service Provider retains the right to reference the engagement (without disclosing confidential content) in her portfolio, unless the client objects in writing.
Pre-existing intellectual property, methodologies, and frameworks developed by the Service Provider remain her property and may be used in future engagements.
§8: Confidentiality
Both parties agree to treat all non-public information exchanged during the engagement as confidential. This obligation survives the termination of the contract and remains in effect indefinitely unless the information becomes publicly available through no fault of the receiving party.
§9: Liability
The Service Provider’s liability is limited to cases of intent and gross negligence, in accordance with Austrian law. Liability for slight negligence is excluded to the extent permitted by law.
The Service Provider shall not be liable for indirect, consequential, or incidental damages, including but not limited to loss of profit, business interruption, or loss of data.
In any event, the Service Provider’s total liability shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim.
§10: Cancellation and Termination
Either party may terminate the engagement by providing written notice. In the event of cancellation by the client:
- The upfront payment (50%) is non-refundable once work has commenced.
- If cancellation occurs before work begins, the upfront payment will be refunded in full.
- Any work completed beyond the upfront payment scope will be invoiced proportionally.
The Service Provider reserves the right to terminate the engagement if the client materially breaches these terms, including non-payment.
§11: Force Majeure
Neither party shall be liable for delays or failure to perform due to circumstances beyond their reasonable control, including but not limited to natural disasters, pandemics, government actions, or technical failures.
§12: Amendments
Amendments to these terms require written agreement by both parties. The Service Provider reserves the right to update these terms for future engagements, with notice provided on the website.
§13: Governing Law and Jurisdiction
These terms are governed by the laws of the Republic of Austria. The exclusive place of jurisdiction is Vienna, Austria. Mandatory consumer protection provisions remain unaffected.
§14: Severability
Should any provision of these terms be or become invalid, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the economic intent of the original.
